Mr. Haddan assists both early stage and mature companies in corporate finance transactions including venture capital, private equity, public offerings, loan transactions and mergers and acquisitions. He is also experienced in the representation of public companies listed on the NASDAQ Global Market, as well as the OTC Bulletin Board and “pink sheets.” In addition, he handles a variety of general business matters, including partnership and limited liability company formation, real estate purchases and leases, stock option plans, and employment, licensing, manufacturing, distribution and intellectual property agreements.

He regularly represents companies in the electronics, Internet, software, apparel, medical device and healthcare industries, as well as manufacturing and service businesses.

Prior to forming the firm, Mr. Haddan was associated with Sheppard, Mullin, Richter & Hampton, a partner of Hufstedler, Miller, Kaus & Beardsley, and a partner of Cooley, Godward Castro, Huddleson & Tatum. He is a former Chairman of the Business and Corporate Law Section of the Orange County Bar and a former member of the California State Bar's Corporations Code Committee.

Mr. Zepfel often advises startup and early stage companies in structuring their angel investment, venture capital, private equity and debt financing transactions, and also represents mature middle-market companies in acquisition and divestiture transactions. His clients include companies in the electronics, software, healthcare and leisure industries. In addition, he maintains an active practice of assisting publicly traded companies listed on the OTC Bulletin Board and “pink sheets,” and has handled numerous alternative financing arrangements, including reverse mergers and shell company transactions.

He is experienced in negotiating and drafting a wide range of business arrangements, including brand and technology licensing agreements, franchise agreements, marketing and endorsement agreements, employee stock plans and manufacturing and distribution agreements.

Before joining the firm, Mr. Zepfel was a member of the Newport Beach office of Pettit & Martin, a large firm based in San Francisco. He has also been a partner of Hufstedler, Miller, Kaus & Beardsley, and began his career as an associate at Rutan & Tucker in Orange County.
